Delia McQuade Emmons, Aurigen Inc
Formerly Senior Vice President Marketing, American Stock Exchange Mrs. Emmons spent 28 years with the American Stock Exchange in a number of executive positions, including:
Ms. Emmons now consults with clients on the design of customized web sites. Her typical client is a small to mid-sized company or an independent entrepreneur --- companies or individuals with defined budgets that must realize value for every dollar expended. She also consults with clients regarding a variety of management and marketing issues, including divisional and departmental restructuring, staffing plans, and implementation plans. Each aspect of restructuring is approached as an independent module -- one step at a time, building on the previous module -- to create a cohesive plan that will work for your organization. Resolving management issues is a highly collaborative effort and we work along with our clients, taking into account existing budgetary and manpower constraints. Ms. Emmons has also lectured at the graduate level on the securities markets and related topics, providing an overview of the three primary American marketplaces: the New York and American Exchanges and NASDAQ. As Senior Vice President of Marketing for the AMEX, Mrs. Emmons was responsible for the development of educational programs. In that capacity, she spoke with diverse groups, including senior managements of publicly-held companies, international business delegations, investment clubs and university groups. |

| Staffing Plan |
Once you have adopted a Restructuring Plan, you will need a Staffing Plan
that compliments it.
Aurigen will help you identify key functions and develop job descriptions that lay out the qualities needed to fill them. You can then evaluate your existing human resources to determine whether you have the talent in-house to fill those positions. In many cases you will -- in others, professional training might be made available to key employees who have demonstrated the ability to adjust to changing needs in the past. When key functions are identified, Aurigen will help you establish reporting lines and accountability -- Management Controls to alert you to problems early on, while they can still be fixed. |

Every business should have a system of checks that will alert management
to flaws in its action plan. Every plan, whether it applies to marketing a
product or providing a service, should be fluid. Management must be able
to quickly identify and address these problems before they have a negative
impact on overall goals.

Much of a company's success in implementing change depends on the people it employs. Change is a double-edged sword. It energizes some people and scares the daylights out of others. Your company will probably have employees who fit into each category. It is important for management to approach structural issues in a step-by-step manner, in partnership with employees. Incentives need not always be financial in nature to be effective. Budgetary constraints may require you to be more creative. Aurigen will help you develop a dialogue among your senior managers about the types of incentives that could work for you.
